$1450.00 Base Escrow Fee

BULK SALE w/ ABC LICENSE TRANSFER
$1600.00 Base Escrow Fee
Plus $2.00 per Thousand of Total Consideration
Plus $600.00 Estimated Out-of-Pocket Expenses
ABC LICENSE TRANSFER ESCROW
(Person to Person -OR- Premise to Premise)
$1500.00 Base Escrow Fee
Plus $100.00 Estimated Out-of-Pocket Expenses
- Over $2.5 million, the minimum charge will be $6,000. If additional charges are to be made, they will be based on the costs incurred and additional responsibilities assumed by the company, and must be agreed to by the customer in writing. (In writing includes customer's approval of settlement statement).
- In addition to the above stated escrow fees, we will collect the out-of-pocket expenses incurred on behalf of Buyer and Seller, which can include but are not limited to the following:
- Publishing/Recording the Bulk Sale Notice
- UCC Lien Search Charge
- Express Mail/Courier Fees
- Any other extraordinary services performed not specifically provided herein estimated at $600.00 for a Bulk Sale OR Bulk Sale w/ ABC License Transfer and estimated at $100.00 for an ABC License Transfer Escrow, over and above the Base Escrow Fee.
- ALL ESCROW FEES AND ESTIMATED OUT-OF-POCKET CHARGES ARE DUE AND PAYABLE UPON DELIVERY OF THE EXECUTED ESCROW INSTRUCTIONS.
- Document Preparation Fees of $200.00 for drawing Promissory (i.e. Note, Security Agreement, UCC-1 Financing Statements, Deed of Trust).
- Seller will be charged a minimum of $2,400.00, due and payable prior to the close of escrow date, in the event escrow is to be processed and closed with a deficit balance.
